Part A: Use of our website
3. Accessing our website

3.1 You do not need to register with us to use most of our website. You must create an account to place an order, and some areas of our website are available only to registered users.
3.2 You are responsible for keeping your account details confidential and for all activity under your account. Please tell us promptly at [email protected] if you believe your account has been used without your permission.
3.3 We may suspend or close any account that we reasonably believe has been used in breach of these terms.
4. Website availability
4.1 We take reasonable measures to keep our website available at all times. However, technical issues or maintenance may occasionally make it unavailable, and we will not be liable if our website is unavailable at any time or for any period.
4.2 Where possible, we will give advance notice of planned maintenance, but we are not obliged to do so.
5. Intellectual property in our website
5.1 We, or our licensors, own all intellectual property rights in our website and its content, including text, images, help files, datasheets and documentation.
5.2 You may view, download and print content from our website for your own business purposes, including the installation, configuration and support of our products. You must not modify, reproduce, republish or distribute any content without our prior written consent, other than as permitted by law.
6. Material you submit
6.1 You retain ownership of any material you send or post to our website. By doing so, you grant us a non-exclusive, royalty-free licence to use, copy and reproduce that material for the purposes of operating our website, responding to your enquiry and providing our products and services. Material you submit will not be treated as confidential, unless we have agreed otherwise in writing. Any personal data contained in that material will be processed in accordance with Section 22.
6.2 You must not send or post to or from our website any material:
(a) for which you have not obtained all necessary consents;
(b) that is discriminatory, obscene, pornographic, defamatory or likely to incite hatred, that breaches confidentiality or privacy, that is likely to cause annoyance or inconvenience to others, that encourages or constitutes a criminal offence or gives rise to civil liability, or that is otherwise contrary to the law of any part of the United Kingdom; or
(c) that is harmful in nature, including computer viruses, Trojan horses, corrupted data or other potentially harmful software or data.
6.3 We will co-operate fully with any law enforcement authority or court order requiring us to disclose the identity or other details of any person posting material in breach of Section 6.2.
7. Links to and from other websites
7.1 Our website may contain links to third-party websites, including the websites of equipment manufacturers. A link does not mean that we endorse that website, and you visit it at your own risk.
7.2 You may link to our website, provided that you do not imply that we endorse any products, services or party without our written agreement, you do not misrepresent your relationship with us, and the linking website does not contain offensive or unlawful content or content that infringes the rights of any third party.
8. Information on our website
8.1 We take reasonable steps to keep the information on our website accurate and up to date, but we do not guarantee that all content is accurate, complete or current.
8.2 Product pages identify the equipment, models and firmware with which each product is designed to work. Please check the product page carefully before placing an order, as compatibility varies between products and between manufacturers’ model ranges. If you are unsure, contact [email protected] before you buy.
Part B: Purchasing and using our products
9. Who can buy our products
9.1 Our products are designed for professional integrators working in the custom installation industry, and we sell them to business customers only.
9.2 By placing an order, you confirm that you are a business customer and that you are acting for purposes relating to your trade, business, craft or profession. We may ask you to provide evidence of this, such as your company name, company registration number or VAT number, and we may decline any order where we are not satisfied that you are a business customer.
9.3 If, despite Section 9.2, you purchase a product as a consumer, you will have the benefit of the rights given to consumers by law, including under the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. Nothing in these terms excludes or limits those rights, and any provision of these terms expressed to apply to business customers only will not apply to you.
10. Placing an order
10.1 The display of products on our website is an invitation to purchase, not a contractual offer. No contract will come into force between you and us until we accept your order as described in this Section 10.
10.2 To place an order, you must add the products you wish to purchase to your basket and proceed to the checkout; log in to your account, or create one if you are a new customer; provide the information we request, including any processor details required for licensing; agree to these terms; and complete payment through our payment service provider.
10.3 You will have the opportunity to identify and correct any input errors before you submit your order.
10.4 We will send you an initial acknowledgement of your order. We will then either send you an order confirmation, at which point a binding contract will come into force, or tell you by email that we are unable to accept your order.
10.5 Licences are linked to the details you provide when you place your order. You must make sure those details are complete and accurate. We are not obliged to refund, reissue or transfer a licence where incorrect details were provided, or where details change after purchase, although we will consider reasonable requests at our discretion.
11. Prices and payment
11.1 Our prices are quoted in pounds sterling and exclude UK VAT, which will be added at the checkout where applicable. Charges arising from the import of physical products are dealt with in Section 18.
11.2 We may change our prices from time to time, but changes will not affect orders we have already accepted.
11.3 If a product is listed at an obviously incorrect price, we may decline or cancel the order and refund any amount you have paid.
11.4 You must pay for your order in full at the checkout. Payments are processed by our third-party payment service provider, and we do not see or store your full card details.
12. Delivery of software
12.1 Software is an electronic product and there is no physical delivery. We will make your software available for download, and send you any licence key required, by the means and within the periods stated on the product page or in your order confirmation.
12.2 Cloud licensed software does not require a licence key. Your licence will be recorded on our licensing server against the product and processor details you provided.
13. Licence types
13.1 Each software product is supplied under one of the licence types below. The licence type that applies is stated on the product page at the time of your order.
(a) Per processor licence: you may install and use any number of driver instances of the software on the single processor for which the licence was purchased. Each additional processor requires a separate licence.
(b) Per driver instance licence: each driver instance of the software, on each processor, requires a separate licence.
(c) Project licence: you may use the software in any number of your own projects. This licence type applies to software supplied as programming modules or components for use within your own control system programs.
13.2 A per processor or per driver instance licence is tied to the processor for which it was purchased. Off line keys cannot be moved to a different processor; using the software on a replacement or additional processor requires a new licence.
14. Cloud licensing and licence keys
14.1 Some of our software is cloud licensed, and the product page will tell you whether this applies. Cloud licensed software contacts our licensing server when the processor starts up. If the licensing server finds a valid licence for that software and processor, the software will be licensed. If it does not, the software will check for a valid licence key or a valid offline key.
14.2 To use cloud licensed software without an offline key, the processor must have an internet connection at start-up that allows it to reach our licensing server.
14.3 If you purchase a licence after the software has been installed, you must restart the processor for the licence to take effect.
14.4 If no valid licence is found, the software will operate for a trial period, currently one hour, to allow you to verify correct control or evaluate the software. After the trial period, control is suspended until a reboot of the processor
14.5 Licence verification messages are posted to the processor’s error log. Please check the error log before contacting us about a licensing issue.
14.6 If you purchased a licence key before the relevant software moved to cloud licensing, that key remains valid. You must enter it into the software’s Offline Key setting. If you purchased the software after it moved to cloud licensing, no licence key is required.
14.7 We may issue an offline key for a processor that operates permanently without an internet connection. To request one, contact [email protected] with your order details and a brief explanation of why offline activation is required. We may decline a request for an offline key. Where we issue one, the same key may be used for multiple driver instances of the same product on that processor. Once an offline key has been issued, no further changes will be made to that licence.
14.8 We will use reasonable efforts to keep our licensing server available. If our licensing service is unavailable for a prolonged period, or we discontinue it, we will provide customers holding a valid licence with an offline key or another means of continuing to use the software they have licensed, at no additional charge.
14.9 When cloud licensed software contacts our licensing server, the server receives identifying information about the processor, such as its serial number or MAC address, together with details of the software and its version. We use this information to verify licences, provide support and prevent unauthorised use, as described in Section 22.
14.10 You must not interfere with, block, imitate or attempt to bypass communication between the software and our licensing server, or attempt to use a licence key or offline key on any processor other than the one for which it was issued.
15. Your licence to use our software
15.1 Subject to payment of the applicable price and your compliance with these terms, we grant you a worldwide, non-exclusive, non-transferable (to another user) licence to use the software in accordance with its licence type under Section 13.
15.2 Under that licence, you may:
(a) download the software and keep copies for backup and installation purposes;
(b) install and configure the software in accordance with its licence type, including as part of systems you supply, install or maintain for end users; and
(c) allow your employees and contractors to exercise these rights on your behalf, provided you make them aware of these terms and remain responsible for their compliance.
15.3 Where you install software for an end user, the end user may operate the software as part of the installed system for as long as the licence remains in force. A per processor or per driver instance licence remains with the processor for the benefit of its end user, including if ownership of the property or processor changes.
15.4 You must not, and must not allow any other person to:
(a) publish, sell, license, sub-license, rent, transfer, distribute or otherwise make available any software, or any part of it, other than as installed in a system under Section 15.2(b);
(b) modify, adapt or alter any software, or create derivative works from it;
(c) reverse engineer, decompile or disassemble any software;
(d) circumvent or remove, or attempt to circumvent or remove, any licensing mechanism or other technical measure applied to the software;
(e) remove or obscure any copyright or other proprietary notice in the software; or
(f) use any software unlawfully, in breach of any person’s rights, or to develop a product that competes with it,
provided that nothing in this Section 15.4 restricts any act expressly permitted by law.
15.5 Software supplied under a project licence must not be passed to any third party, even in modified form, other than as compiled into a control system program you deliver to your own client. Core components may be supplied in compiled form only and are not suitable for modification.
15.6 All intellectual property rights in the software not expressly granted by these terms are reserved by us or our licensors.
15.7 We may terminate your licence by written notice if you commit a material breach of these terms and, where the breach can be remedied, fail to remedy it within 14 days of our notice. On termination, you must stop using the software and delete all copies in your possession or control. Termination will not affect end users’ use of systems installed before the breach, unless the breach relates to that installation.
16. Free trials
16.1 We may make software available free of charge on a trial basis, including through the trial period described in Section 14.4.
16.2 Trial use is restricted in the manner and for the period we specify, and we may apply technical measures to enforce those restrictions. We may restrict or end any trial at any time.
17. Updates, support and third-party equipment
17.1 We will use reasonable efforts to maintain the functionality of our software, and we will provide bug fixes free of charge. Additional functionality may be released as a separate product at an additional charge.
17.2 Support is available by email to [email protected]. Please include as much detail as possible, including a recent processor error log.
17.3 Our software controls equipment designed and manufactured by third parties. We do not control that equipment, its firmware or its control protocols, and changes made by a manufacturer may affect how our software operates. We will use reasonable efforts to update our software in response to such changes, but we give no warranty as to the reliability of any third-party equipment, or that our software will remain compatible with future firmware or protocol changes.
17.4 Equipment may support functions that our software does not make available. The functions supported are those described on the product page. Manufacturers wishing to request additional feature support may contact [email protected].
18. Physical products
18.1 We will deliver physical products to the address you provide, within the estimated time stated at the checkout or in your order confirmation. Delivery times are estimates only.
18.2 Risk in physical products passes to you on delivery. Ownership passes to you when we have received payment in full.
18.3 Physical products shipped outside the United Kingdom may be subject to customs duties, import taxes, clearance and handling fees and other charges in the destination country. These charges are set and collected by the relevant authorities and delivery providers, not by us. Any information we give about them is for guidance only.
18.4 You are responsible for paying any such charges unless we have agreed otherwise in writing. If we are required to pay, or are billed for, any such charges on your behalf, you must reimburse us in full, and we may invoice you for them.
18.5 You must inspect physical products on delivery and tell us of any damage, shortfall or defect apparent on inspection within 7 days of delivery. After this period of time we are unable to provide an advanced replacement. If a physical product is faulty, we will, under our warranty, repair or replace it or refund the price you paid for it within 12 months of purchase.
18.6 We are not obliged to accept the return of physical products that are not faulty, although we may agree to do so at our discretion.
19. Cancellation and refunds
19.1 Once we have accepted your order and made software available for download, issued a licence key or recorded a cloud licence, the order cannot be cancelled and we will not give a refund because you have changed your mind or no longer need the software.
19.2 If software does not perform materially as described on its product page when used with compatible equipment, please contact [email protected]. We will use reasonable efforts to correct the issue.
19.3 Section 10.5 applies to licences purchased with incorrect details.
19.4 If you are a consumer, you have a legal right to cancel a contract for digital content within 14 days. You will lose that right if, at the checkout, you expressly agree to the digital content being supplied immediately and acknowledge that you will lose your right to cancel once supply begins. This Section 19.4 does not affect any other rights you have as a consumer.
20. Warranties
20.1 We warrant that our software will be supplied with reasonable care and skill and will perform materially as described on its product page when used with compatible equipment.
20.2 You warrant that you are legally capable of entering into binding contracts; that you have full authority to agree to these terms, including on behalf of any business you represent; that all information you provide in connection with your order is true, accurate and complete; and that you have access to the processors, network connections and, for cloud licensed software, internet access needed to use your products.
20.3 All of our warranties relating to our products are set out in these terms. To the maximum extent permitted by law, and subject to Section 21.1, all other warranties, conditions and representations are excluded.
Part C: General terms
21. Limitation of liability
21.1 Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under the law of England and Wales. Nothing in these terms affects the statutory rights of a consumer.
21.2 Subject to Section 21.1, the limitations and exclusions in this Section 21 apply to all liability arising under or in connection with these terms, whether in contract, tort (including negligence), breach of statutory duty or otherwise.
21.3 We provide our website and its content free of charge, and we will not be liable for any loss or damage you suffer as a result of using our website or relying on its content.
21.4 We will not be liable for:
(a) any event or circumstance beyond our reasonable control;
(b) any loss of profits, income, revenue, use, production, anticipated savings, business, contracts, commercial opportunities or goodwill;
(c) any loss or corruption of data, databases or software; or
(d) any special, indirect or consequential loss or damage.
21.5 Our total liability to you in connection with any order will not exceed the total price paid for the products under that order.
21.6 You agree not to bring any claim personally against our officers or employees in connection with our website, our products or these terms. This does not limit our own liability for their acts and omissions.
22. Privacy and data protection
22.1 We process personal data in accordance with the UK General Data Protection Regulation, the Data Protection Act 2018 and our Privacy Policy, which explains what we collect, including through our website, your orders and our licensing server, how we use it and your rights.
22.2 Our use of cookies on our website is explained in our Cookie Policy.
23. Changes to these terms
23.1 We may revise these terms from time to time by publishing a new version on our website. Revised terms apply to your use of our website from the time they are published.
23.2 The terms that apply to an order are those in force when the order was placed. A revision will not affect orders placed before it was published.
23.3 We do not keep a separate copy of these terms for each customer, and previous versions will not remain available on our website. This is why we recommend saving a copy under Section 1.5.
24. General provisions
24.1 We may assign, transfer or sub-contract any of our rights or obligations under these terms. You may not do so without our prior written consent.
24.2 No breach of these terms will be waived except with the express written consent of the party not in breach, and no waiver will be construed as a continuing waiver of that or any other provision.
24.3 If any provision of these terms is found to be unlawful or unenforceable, the remaining provisions will continue in effect. If a provision would be lawful or enforceable with part of it deleted, that part will be treated as deleted.
24.4 A contract under these terms is for the benefit of you and us only, and no third party has any right to enforce it under the Contracts (Rights of Third Parties) Act 1999. This does not affect the rights of end users to operate installed systems under Section 15.3, which arise from your licence rather than as separate enforceable rights.
24.5 Subject to Section 21.1, these terms constitute the entire agreement between you and us in relation to their subject matter, and supersede all previous agreements between you and us in relation to it.
25. Governing law and jurisdiction
25.1 These terms, and any dispute or claim arising out of or in connection with them, their subject matter or formation, including non-contractual disputes or claims, are governed by the law of England and Wales.
25.2 If you are a business customer, the courts of England and Wales have exclusive jurisdiction over any such dispute or claim, but we may bring proceedings against you in any other court of competent jurisdiction.
25.3 If you are a consumer, you may bring proceedings in the courts of England and Wales or, if you live in Scotland or Northern Ireland, in the courts of the part of the United Kingdom in which you live.
